Default Service Contract Terms
These terms apply between an expert and a client for work agreed on Aiyubot, unless the two of them agree different terms in writing. Aiyubot is not a party to them.
1. The services
The expert performs the agreed work with reasonable skill and care, within the agreed scope and timeline, and keeps the client informed. The client gives the expert the information, access and decisions the work needs, in time.
2. Ownership of work product
When a milestone, period or session is paid in full, the client owns the work product the expert created specifically for it, and the expert assigns to the client all intellectual-property rights in that work product.
The expert keeps ownership of tools, code, templates and know-how they owned before the work or developed independently of it, and grants the client a non-exclusive, perpetual, royalty-free licence to use any of them that are built into the work product, as part of that work product. Open-source and other third-party components remain under their own licences, which the expert must identify.
The expert may show the work in a portfolio only with the client's permission.
3. Warranties
The expert confirms that the work product is their own original work or properly licensed, does not knowingly infringe anyone's rights, and that they will not deliver material they have no right to use. Except as stated here, neither party gives any other warranty.
4. Confidentiality and data
Each party keeps the other's confidential information confidential and uses it only for the work. If the expert handles personal data for the client, they process it only on the client's instructions and as the law requires. The expert should not ask for the client's Aiyubot password; the client should grant access in a way that can be revoked.
5. Relationship and ending the work
The expert is an independent professional, controls how the work is done and may work for others. Either party may end the work using the tools in Aiyubot; work already performed and paid for is not affected, and the parties settle anything outstanding through the payment instructions.
