You are reading the Expert terms, for people who offer paid services to Aiyubot users through agreements, milestones and sessions.

Expert Agreement

This Expert Agreement applies when you use Aiyubot as an expert: someone who offers professional services to Aiyubot users and is paid through the platform. Together with the other documents listed in the Terms of Service overview, it forms a binding contract between you and Aiyubot. By applying to become an expert, or by sending a proposal or approving any milestone or agreement, you accept it.

Please read the dispute sections carefully. They require most disputes with Aiyubot to be resolved individually by arbitration, and they include a class action waiver. You can opt out of arbitration within 30 days.

1. Your account

Registration and approval. You need an Aiyubot account to act as an expert, and your expert profile is published only after Aiyubot approves it. We may decline or reverse an approval for any lawful reason, including incomplete, inaccurate or unverifiable information.

Eligibility. You must be at least 18 years old (or the age of majority where you live, if higher), able to form a binding contract, and use the expert features for business purposes as a self-employed professional or as an authorised representative of a business. You must comply with all laws that apply to you and your services.

One account per person. Each person may hold only one Aiyubot account. One account can carry several roles (User, Expert and Publisher) and you can switch between them; you may not open further accounts without our written permission. You are responsible for everything done through your account and for anyone you allow to act for you.

Identity verification. We may require identity verification, such as a government-issued ID and a selfie, at any time. While it is pending, some features, including withdrawals, may be unavailable. You agree to provide complete and accurate information when asked and to cooperate with any later re-verification.

Credentials. Keep your password and any two-factor codes confidential, do not share your login, and tell us at once if you suspect unauthorised use. Repeated wrong passwords lock the account for a short period.

2. What Aiyubot does, and what it does not

Aiyubot is a marketplace and set of tools where users and experts find each other, agree on work, communicate and handle payment. Aiyubot is not a party to the agreements between you and your clients, does not employ experts, and does not supervise, direct or control your work.

You alone decide whether to propose or accept work, how to perform it and which clients to work with. You are responsible for checking the information a client gives you; ratings, badges and profile labels are informational and are not a guarantee by Aiyubot of anyone's identity, quality or ability to pay.

You are free to do other business, inside or outside Aiyubot, subject to the Non-Circumvention & Conduct Policy. We may offer features as a beta or preview; they may change or end without notice.

3. Taxes and benefits

You are responsible for all taxes on the money you receive through Aiyubot and for registering, invoicing, reporting and paying them as the law where you work requires. You are not covered by any Aiyubot insurance, benefit plan or social-security scheme and must arrange your own.

If a payment to you is subject to withholding, tell us; you indemnify Aiyubot for any tax, interest or penalty assessed because you did not. We, or our payment providers, may ask you for tax or business information and you agree to provide it accurately.

4. Reviews and your content

After a milestone or agreement is under way, the client may leave one review of your work per contract: a rating from 1 to 5 stars and a comment, which signed-in users can see on your profile. Clients can update their review. Reviews are the client's own opinion; Aiyubot does not verify them and does not endorse them. You may not offer anything in exchange for a review, review yourself, or pressure a client to change one.

Reviews and profile information may not be used for decisions about employment, credit, insurance or similar eligibility. We may remove a review or other content that breaches these terms or harms the integrity of the marketplace, but we have no duty to monitor it.

You keep ownership of your profile, proposals, messages and files. You grant Aiyubot a worldwide, non-exclusive, royalty-free licence to host, store, copy, display and process them as needed to run, secure and improve the Service, to show your profile and reviews to users, and to investigate disputes. You confirm you have the rights needed to grant that licence.

5. Agreements with clients

A milestone, contract or daily or weekly agreement becomes binding when the second party approves it in Aiyubot (the party proposing it approves by proposing). From that moment you and the client are bound by its terms, by the applicable payment instructions — Milestone Payment Instructions or Hourly & Session Payment Instructions — and by these terms. The bid in a proposal is not binding until a milestone or agreement based on it is approved.

You and your client may agree additional terms between yourselves, such as a non-disclosure or intellectual-property agreement, as long as they do not conflict with these terms. Where you have not agreed otherwise, the Default Service Contract Terms apply. They are a sample, not legal advice; get your own advice for your situation.

6. Disputes between you and a client

If you and a client disagree about funded work, use the "raise a concern" process described in the Milestone Payment Instructions. Aiyubot's decision on how escrowed funds are released, split or refunded is final as to those funds. Beyond that, you may pursue a dispute with a client independently; Aiyubot has no obligation to help further.

If you ask a court or arbitrator for an order that affects Aiyubot or funds it holds, you must give Aiyubot at least 5 business days' written notice and the order must provide for payment of any amounts owed to Aiyubot.

7. Confidential information

Clients often share confidential business information, source code, credentials or data so you can do the work. Unless you and the client agree stricter terms, you must use it only for that work, protect it with reasonable care, not disclose it to anyone who does not need it for the work, and return or destroy it when the client asks. This applies even if no agreement is ever formed.

8. Independent professional relationship

You provide services as an independent professional. Nothing in these terms makes you an employee, worker, partner or agent of Aiyubot or of any client. The client decides how to classify its relationship with you under the law that applies to it; Aiyubot does not offer payroll or employment services.

9. Fees

Aiyubot charges a platform fee of 10% on expert work. It is added to the price the client pays and deducted from the amount released to you. Fees, payout charges and minimum withdrawals are set out in the Fees & Payouts Agreement. Aiyubot charges nothing for creating a profile, being found by clients or sending proposals.

Fees exclude taxes. Where the law requires us to collect VAT, GST, sales tax or similar taxes on our fees, we add them.

10. Payments, escrow and holds

Clients pay for funded work through Aiyubot's payment processors. Aiyubot holds those funds until they are released to you or refunded under the applicable payment instructions. Aiyubot is not a bank, and no interest is paid to you or the client on funds it holds.

Released money appears in your earnings and becomes withdrawable once any holding period has passed and our payment processor has settled the client's payment. Aiyubot does not guarantee that a client will pay, and an earning exists only once the client's payment succeeds.

We may delay, hold, refuse or offset a payment or withdrawal when we need more information (such as identity or tax details); when a payment is or may become the subject of a dispute, refund or chargeback; when we suspect fraud, abuse or a breach of these terms; or when the law or an investigation requires it. When the reason is resolved, we release the hold promptly. If we discover a duplicated or mistaken payment, or a payment obtained by fraud, we may recover it by deducting it from your balance or future earnings.

11. Non-circumvention

Aiyubot is paid through the work that runs on it. You agree to keep communication and payment for relationships that began on Aiyubot on the platform, as set out in the Non-Circumvention & Conduct Policy. Breaching it is a material breach of this agreement.

12. Your records

You are responsible for keeping your own records of your work, communications and payments. Aiyubot has no duty to store or provide copies of them except as the law requires. If both you and a client clear a conversation, its messages are permanently deleted and cannot be restored.

13. Disclaimer of warranties

The Service is provided "as is" and "as available". To the fullest extent the law allows, Aiyubot disclaims all warranties, express or implied, including of title, accuracy, non-infringement, merchantability and fitness for a particular purpose, and does not promise that the Service will be uninterrupted or error-free.

14. Limitation of liability

To the fullest extent the law allows, Aiyubot is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, arising from: your use of or inability to use the Service; delays, outages, bugs or errors; the content or conduct of clients or other third parties; actions taken on your account; your reliance on profiles, job posts, ratings or reviews; or changes to the Service or these terms.

Aiyubot's total liability for any claim relating to the Service or these terms is limited to the greater of US$100 and the platform fees Aiyubot kept from your agreements in the six months before the claim arose. Some jurisdictions do not allow these exclusions, so some may not apply to you.

15. Release

Aiyubot is not involved in the performance of your agreements with clients. You release Aiyubot, its affiliates and their personnel from all claims, known or unknown, arising out of a dispute between you and another user, including about the quality of work or a refund request. Where it applies, you waive California Civil Code Section 1542 and similar laws. This release does not cover Aiyubot's own failure to meet its obligations under these terms.

16. Indemnification

You will defend, indemnify and hold harmless Aiyubot, its affiliates and their personnel from any claim, loss, liability or expense (including reasonable legal fees) arising from your use of the Service; your work, deliverables and content; your agreements with clients, including any claim about your classification or employment status; your breach of these terms or the law; your negligence, wilful misconduct or fraud; or your infringement of anyone's rights, including privacy and intellectual property.

17. Term, suspension and termination

This agreement starts when you accept it and continues until it ends under this section. You may end it at any time by stopping use of the expert features and closing your account, after completing or ending your open agreements.

Aiyubot may reject an application, suspend or block an expert profile, or suspend or close an account, immediately and without notice, if you breach these terms, use the Service unlawfully, commit or attempt fraud, or for any other reasonable cause, and may end this agreement without cause on written notice. A blocked expert is removed from the directory and can no longer send proposals or start new work; contact support@aiyubot.com about a decision. If we close your account for breach, you may not open another one.

When the agreement ends, you remain responsible for obligations that arose before it ended, and earnings released to you before then remain payable under the Fees & Payouts Agreement, less any amounts you owe and subject to any lawful hold. We may delete account data after closure. Sections that by their nature should survive — including taxes, confidentiality, payments, non-circumvention, disclaimers, limitation of liability, release, indemnity and disputes — survive.

18. Informal resolution first

Before starting any formal proceeding, the party with a complaint must send the other a written notice describing the dispute and the outcome it wants. Notices to Aiyubot go to support@aiyubot.com with the subject line "Legal notice". The other party should reply within 30 days, and both will try in good faith to settle the dispute for 60 days after the notice. Time limits for bringing a claim are paused during that period.

19. Arbitration and class action waiver

To the extent the law where you live allows it, a dispute that is not settled informally will be resolved by binding arbitration before a single arbitrator, in English, on an individual basis, and not in court. Either party may instead bring an individual claim in a small-claims court that has jurisdiction, and either party may ask a court for urgent injunctive relief to protect intellectual property, confidential information or the security of the Service, or to recover unpaid amounts.

Disputes are brought individually. Neither you nor Aiyubot may bring or join a claim as a plaintiff or class member in a class, collective or representative proceeding, and an arbitrator may not consolidate the claims of different people. If this waiver is found unenforceable for a particular claim, that claim alone goes to court and the rest stay in arbitration.

You may opt out of arbitration within 30 days of first accepting these terms by emailing support@aiyubot.com from your account's email address with your name and a clear statement that you opt out. Opting out does not change any other part of these terms.

20. Governing law

These terms are governed by the laws of the place where Aiyubot's operating company is established, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer, nothing in this section takes away the protection of mandatory laws of the country where you live.

21. Changes to these terms and to the Service

We may update these terms. The "Last updated" date at the top of this page shows when they last changed. For changes that materially reduce your rights, we give you reasonable notice before they take effect, by email or in the product. Continuing to use the Service after a change takes effect means you accept it; if you do not, stop using the Service and close your account.

We may add, change or remove features, or suspend or discontinue all or part of the Service, including to reflect how features are used, keep the Service sustainable, or respond to changes in the cost of the AI infrastructure it runs on.

22. General

  • Entire agreement. These terms, together with the documents they refer to, are the whole agreement between you and Aiyubot about their subject, and replace earlier versions. If a translation conflicts with the English text, the English text controls.
  • Assignment. You may not transfer these terms or your account without our written consent. We may transfer them, for example as part of a merger or sale of the business.
  • Severability and waiver. If a provision is found unenforceable, the rest stays in force. Not enforcing a provision is not a waiver of it.
  • Relationship. Nothing in these terms creates a partnership, joint venture, employment or agency relationship between you and Aiyubot, or between you and any other member.
  • Force majeure. Neither party is liable for a delay or failure caused by events outside its reasonable control, such as outages of infrastructure or third-party providers, natural disasters, war or government action.
  • Sanctions and export control. You confirm you are not the subject of trade or economic sanctions and will not use the Service in breach of export control or sanctions laws, or make it available to anyone who is barred from it.
  • Electronic communications. You agree to receive notices electronically, by email to your account address or in the product, and that electronic records and acceptances have the same effect as signed paper ones.
  • Contact. Questions about these terms: support@aiyubot.com. Privacy questions: privacy@aiyubot.com.
